Ethical Compass: Ethical Decision-Making Course for Board Directors
Ethical Compass is a practical ethical decision-making course for board directors, designed to strengthen judgement, challenge thinking, and decision integrity under pressure.
Most leaders do not face ethical dilemmas because they lack values. They face them because values and pressure collide — and in that moment, good intentions are not enough.
Ethical Compass is a practical, self-paced online course in ethical decision-making for board directors, executives, and senior leaders. It builds the reasoning capacity, situational awareness, and governance judgment that leaders need to navigate complex ethical challenges with clarity and confidence — not just compliance.
The course draws on the Behavioural Governance framework developed by Sanela Osmic GAICD, grounded in original research into how leaders actually make decisions under pressure, and what separates ethical clarity from ethical intention.
What this course develops
Ethical Compass moves beyond principles and frameworks to build three practical capacities:
Ethical reasoning in real governance contexts — how to identify, analyse and navigate dilemmas that are technically legal but morally complex, and situations where competing obligations create genuine tension.
Critical thinking and bias awareness — understanding the cognitive patterns — ethical fading, groupthink, confirmation bias, escalation of commitment — that cause well-intentioned leaders to make decisions they later struggle to defend.
Governance judgment on emerging risks — applying ethical reasoning to ESG obligations, artificial intelligence, and the conduct and culture expectations now central to board accountability.
Course modules
The course comprises nine structured modules covering:
- Ethical decision-making frameworks and their application in governance contexts
- Stakeholder management — balancing competing interests without compromising values
- Environmental, Social and Governance (ESG) — integrating sustainability and responsibility into board decision-making
- Responsible AI — ethical implications of artificial intelligence adoption and how boards should respond
- Cultivating an ethical culture — embedding values into organisational behaviour, not just policy
Each module includes interactive content and a short quiz. The complete course takes approximately 90 minutes.
How it is delivered
Ethical Compass is fully online and self-paced — accessible from any device, at any time. There are no deadlines and no expiry. Once enrolled, you have lifelong access and can return to any module at any time.
Upon completion, participants receive a certificate of achievement recognising their understanding of ethical decision-making in governance contexts.

The connection to Behavioural Governance
Ethical Compass is part of the Ethical Governance learning suite, grounded in the Osmic Governance Architecture™ (OGA) — a research-based framework examining how leadership character, governance structure, and strategic judgment interact to determine decision quality under pressure.
For organisations seeking a deeper diagnostic of how governance operates in practice, the Governance Architecture Diagnostic™ (GAD) assesses ethical judgment and decision integrity across seven dimensions of board behaviour.
